Thanks for trying out the free online Intellectual Asset Manager service! We’ve put together this text to describe the terms on which we provide the service to you, and some important things to keep in mind when using the Intellectual Asset Manager service to capture and manage intellectual assets. Please read this carefully before using the service, and contact us at firstname.lastname@example.org if you have any questions.
Please remember that this free service is still in an unfinished beta stage, and that this may affect the reliability and your experience of the Intellectual Asset Manager service.
The goal of these Terms of Service is to apply the following principles to your experience of the service:
• Your Intellectual Assets should always stay yours
• Information about you should always stay private
• Your Intellectual Assets should always stay secret
• As long as you use the Service responsible, it should be reliable, secure, and easy to use
By using this website, and the Intellectual Asset Manager service (the “Service”) you agree that you’ll comply with the terms in this document (the “Terms”). If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization, and you promise that you have the authority to bind that organization to these terms. In that case, “you” and “your” will refer to that organization.
You are not allowed to use the Service if you are unable, or unwilling to comply with the Terms. You may use the Service only if you have the power to form a contract with CIP Professional Services, and are not aware of any legal limits on your authority to do so.
We are constantly working to update and improve the Service, and we expect to update, improve, or add features over time. If we make significant changes, or if we need to suspend or stop the Service, we will make every effort to inform you about this and give you opportunities to take appropriate action. Please be aware, however that we may stop, suspend, or modify the Service at any time, and might not be able to inform you in time – keep backups of any vital information! We may also remove any content from our Service at our discretion.
Your Intellectual Assets stay yours
Anything that you enter into the Intellectual Asset Manager stays yours. When you use our Service you provide us with information about your research and relevant knowledge you have developed (together “your Intellectual Assets”) (or research and relevant knowledge that has been developed by your partnersclients, etc) and described in a standardized format developed by CIP Professional Services. You keep full ownership of your Intellectual Assets (and if you are entering someone else’s Intellectual Assets, with their permission, they keep full ownership of those). CIP Professional Services will not claim ownership or any other rights to your Intellectual Assets, except the very limited rights outlined in these Terms.
What we may ask to do with your Intellectual Assets will always be related to providing the Service – permission to host your information, permission to e-mail you about your account, etc. This is necessary for us to be able to provide you with some of the features of the Service, for example visualizations of assessments, and to be able to ensure the technical aspects of the Service, such as redundant backup storage, etc. The only permissions we ever ask for will be directly related to enabling you to use the Service. This permission also extends to trusted third parties with whom we work to provide the Service, if we ever involve third parties (right now no third parties are involved with the Service, so you only need to give us permission).
Information about you stays private
In addition to the information about your Intellectual Asset information, the Service will also gather information about you (your name, your contact information, when you last logged in, etc). This information will be used to help you better use the Service, through for example improvements or simplifications of interfaces,, and to help us understand how the Service is actually used. We will not share identifiable information about you with anyone else, except if you ask us to, or in very rare, specific circumstances.
Your Intellectual Assets stay secret
When you use the Service, the Intellectual Assets you enter into the system will not be shared with others. In fact, we go to great lengths to ensure that others cannot access your Intellectual Assets – for the technical details, see our statement on IT security. Your Intellectual Assets will not even be shared with us; personnel at CIP Professional Services will not access the information stored in the Service, except for metadata about the information. For security purposes it is possible for the individual managing the Service to access the information and remove it, but this will not be done unless necessary.
You are solely responsible for your conduct, the content of information, and your management of Intellectual Assets while using the Service. For example, it’s your responsibility to ensure that you have the rights or permission needed to comply with these Terms.
You are expected to use the Service responsibly
The Service is a free of charge tool made available by CIP Professional Services to support researchers, research teams, innovation advisors, IPR experts, etc., in cataloguing and assessing Intellectual Assets. While we will do our best to provide a stable, reliable experience, CIP Professional Services takes no responsibility for your conduct, the content of information you enter, and your communications with CIP Professional Services while using the Services. For example, it’s your responsibility to ensure that you have the rights or permission needed to comply with these Terms.
We will not keep track of the material you upload, so please be aware that you are responsible for not entering any information into the IA Manager that you do not have the right to use this way. We are not responsible for the accuracy, completeness, appropriateness, or legality of any information you choose to enter while using the Service.
You, and not CIP Professional Services, are responsible for maintaining and protecting all of your Intellectual Assets. We will not be liable for any loss or corruption of your Intellectual Asset information, or for any costs or expenses associated with backing up or restoring any of your Intellectual Assets. Make your own copies!
If your contact information, or other information related to your account, changes, you must notify us promptly and keep your information current. The Service is not intended for use by you if you are under 13 years of age. By agreeing to these Terms, you are representing to us that you are over 13.
Keep your account secure
You are responsible for safeguarding the password that you use to access the Service and you agree not to disclose your password to any third party. You are responsible for any activity using your account, whether or not you authorized that activity. You should immediately notify CIP Professional Services of any unauthorized use of your account
Remember, this is a beta, and the Service is provided ‘as-is’
Though we want to provide a great service, there are certain things about the service we can’t promise. For example, THE SERVICE IS PROVIDED “AS IS”, AT YOUR OWN RISK, WITHOUT EXPRESS OR IMPLIED WARRANTY OR CONDITION OF ANY KIND. WE ALSO DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. (This isn’t us yelling at you – it’s just that these are important disclaimers, and we want to make sure that you don’t miss them). Even though we’ve gone to a lot of effort to make sure that the Service is safe, CIP Professional Services can’t take responsibility for any harm to your computer system, loss or corruption of data, or other harm that results from your access to or use of the Service.
